Reg.A Tier 1, Reg.A Tier 2, Reg.CF, Reg.D, 506c, 506d … There are so many crowdfunding and investment options out there for both issuers and investors, it’s no wonder why so many are confused about the pros and cons of each! It all began with the JOBS Act, which allowed anyone who wanted to invest in major institutional deals with the ability to do so. This was a breakthrough in the industry as non-accredited investors could participate in deals normally only available to the major players. In general, Reg. A and Reg. D crowdfunding offerings (short for Regulation A and Regulation D) are SEC exemptions that enable private companies to raise money from investors through the sale of equity or debt securities which do not have to be registered. And when you listen to this podcast, you will understand why you need to know the differences and similarities of each. Then, you’ll be able to make your own decision as to what factors ultimately make one crowdfunding vehicle more attractive to you based on your own unique situation and requirements.

Reg.A Tier 1 is not the same as Reg.A Tier 2, and are both notably different from Reg.D offerings in that non-accredited investors can actually participate in Reg.A offerings. But that’s just the tip of the iceberg. There are so many more considerations issuers must understand in order to chose the path thats right for them. Crowdfunding is a costly, time consuming process. You might as well do it correctly, which means you have to understand the nuances of each method.
